Before proceeding with our services, it's crucial to understand and agree to the terms outlined herein. Your acceptance of these terms is a prerequisite for engaging with Valenti Studios. By making a payment to us, you explicitly consent to be bound by the terms set forth in this document. It's important to recognise that any violation of this agreement may result in penalties or legal consequences. It is imperative that you carefully review and adhere to these terms to ensure a mutually beneficial and legally compliant engagement with our studio.

General Provisions

Amendment Clause

Valenti Studios possess the exclusive authority to unilaterally amend, modify, or adjust the terms and conditions governing our services. This provision is strategically implemented to proactively address any potential misinterpretations and to facilitate essential adjustments under specific circumstances. Our commitment to maintaining clarity and adaptability in our policies ensures that we can effectively respond to evolving needs and circumstances while upholding the integrity of our studio's operations. Therefore, it's essential for our clients to acknowledge and understand this prerogative, which enables us to uphold the highest standards of service delivery and regulatory compliance.

Conduct Protocol

In the interest of maintaining a safe and respectful environment within our studio premises, it is essential to underscore that any occurrences involving verbal or physical abuse will be met with decisive action. Such behaviour is strictly prohibited and will result in immediate eviction from the premises. Moreover, individuals found to have engaged in abusive conduct will face an indefinite prohibition from accessing the studio facilities. Additionally, perpetrators of abusive conduct may be subject to legal penalties as deemed appropriate under the law.

The determination of what constitutes abusive behaviour rests with the discernment of our staff, who are entrusted with upholding the standards of conduct within our establishment. Their authority extends not only to identifying instances of misconduct but also to imposing appropriate sanctions in line with our zero-tolerance policy towards any form of harassment or aggression. By entrusting this responsibility to our staff, we ensure that our community remains a safe and inclusive space where all individuals can work and collaborate without fear of intimidation or harm.

Smoking Prohibition

In adherence to our commitment to maintaining a healthy and safe environment for all studio users, it is imperative to reiterate that smoking, including the use of vape devices near studio equipment, is strictly forbidden within our premises. This policy is implemented to safeguard both the well-being of individuals and the integrity of our equipment.

Any breach of this smoking prohibition will be met with serious consequences, including an immediate and indefinite suspension from accessing our studio facilities. This measure underscores the severity with which we regard violations of our smoking policy and serves as a deterrent against endangering the health and safety of others.

Furthermore, it is important to recognise that the enforcement of this policy is not only essential for promoting a conducive working environment but also aligns with legal regulations governing indoor smoking. By upholding these standards, we affirm our commitment to prioritising the health and comfort of our studio community while also fulfilling our legal obligations.

Food and Beverage Regulations

To ensure the upkeep of our studio and safeguard against potential damage, we enforce restrictions on consuming food and beverages within Valenti Studios. This policy aims to maintain cleanliness and protect equipment integrity. However, we understand the importance of breaks and refreshments during sessions. Thus, designated areas outside the studio rooms are provided for these activities, allowing users to enjoy snacks and drinks while preserving the professional environment within our studio rooms.

Cleaning Fee

Failure to maintain the studio in a satisfactory condition may incur a cleaning fee of no less than $50. This fee, determined at the discretion of our staff, covers the cost of restoring the studio to its required standard. Users will be invoiced accordingly based on the extent of cleaning required.

Equipment Handling

Users are strictly prohibited from engaging in reckless handling of studio equipment. Any neglect or disregard for the proper maintenance of equipment may lead to an indefinite suspension of studio access, subject to the discretion of our staff. It is imperative that users exercise caution and care when utilising the studio's resources to ensure the safety and longevity of the equipment for all users.

Substance Prohibition

Within the studio premises, it is strictly prohibited to possess or consume alcohol and illicit substances. Violators of this policy will face significant consequences, including immediate eviction from the premises and reporting to the appropriate legal authorities. This zero-tolerance approach is crucial for maintaining a safe and productive environment for all occupants and upholding legal standards.

Furthermore, such actions not only endanger the individual involved but also compromise the integrity of the studio as a secure workspace. By enforcing this policy, the studio emphasises its commitment to ensuring accountability for any unlawful activities on its premises. It is vital for all users to adhere to these regulations meticulously to avoid legal penalties and reputational damage.

Discretionary Ban

Our staff maintain the prerogative to enact temporary or permanent bans when they deem it necessary to preserve the integrity and safety of Valenti Studios. Instances that may prompt such actions include, but are not limited to, cases of abuse, recklessness towards studio equipment, theft, or behaviours that compromise the well-being of others within the studio premises. These measures are implemented to uphold a standard of professionalism, respect, and security conducive to the studio's operations and the satisfaction of its clients and users.

Booking Confirmation

Booking confirmation is contingent upon the receipt of full payment through our official payment channels. If payment has been processed via our website, clients generally do not need to be concerned about uncleared funds unless a technical issue arises within our system—in such cases, we will take responsibility and resolve the matter on our end. In the event that payment is made through other methods and remains uncleared, rescheduling may be required and cancellation fees may apply. This policy ensures efficient transaction processing and minimises scheduling disruptions caused by payment complications.

Late Departure Fee

Failure to vacate the premises promptly at the conclusion of the designated booking time will incur additional fees. Overtime is charged at the applicable hourly studio and/or staff rate (ranging from $40 to $150+), calculated in 15-minute increments. These fees are implemented to cover the operational costs associated with extended occupancy and to ensure fairness and timely turnover of studio spaces for subsequent bookings.

Late Arrival Policy

Please note that late arrival does not extend the session time allotted for your booking. We kindly request all clients to arrive promptly at their scheduled session time to maximise the utilisation of their reserved studio time. Any delays in arrival beyond the scheduled start time will not result in an extension of the session duration. Please be advised that your session time includes both the setup and packing up of equipment, as well as the cleaning of the studio space. This policy ensures fairness to all clients and allows us to maintain an efficient schedule for subsequent bookings.

Client Satisfaction

Please be aware that Valenti Studios and our staff cannot be held liable for any dissatisfaction with the outcomes of your session. While we strive to provide the best possible environment and support for your projects, the final results may vary based on various factors beyond our control, including individual preferences, technical limitations, and other external variables. We aim to collaborate closely with you to achieve your vision to the best of our abilities, but ultimate satisfaction with the session outcomes remains subjective and may vary from person to person.

Property Damage Or Loss

Surveillance Protocol

Valenti Studios is equipped with comprehensive video surveillance systems that are monitored as deemed necessary. Our priority is to maintain the security and integrity of our studio property at all times. In addition to ongoing monitoring, we conduct periodic checks to ensure that our surveillance systems are functioning optimally and to safeguard against any potential threats or unauthorised activities. These measures are in place to provide a safe and secure environment for all our clients and to protect the valuable assets within our studio premises.

Liability for Damages

Clients shall be held fully liable for any damage to studio property, equipment, or facilities arising from reckless conduct, negligence, or any breach of these Terms and Conditions. While Valenti Studios recognises that genuine accidents may occur, liability will only be imposed where damage results from actions that fall outside reasonable and responsible use of the premises.

Financial liability shall include, but is not limited to:

The full cost of repair or replacement of the damaged property;
Compensation for revenue lost due to the unavailability of the affected equipment, spaces, or services; and
Any additional consequential or incidental losses reasonably determined by Valenti Studios.

In addition to financial compensation, Valenti Studios reserves the right to impose further sanctions, including but not limited to temporary or indefinite suspension of access to the premises and services.

This policy is implemented to preserve the professional standards, safety, and operational integrity of our facilities. All clients and their guests are expected to exercise due care at all times while on the premises.

Theft Protocol

In the event that theft or misappropriation occurs within the premises of Valenti Studios, the matter will be reported immediately to the relevant law enforcement authorities. Valenti Studios maintains a zero-tolerance policy toward theft and will fully cooperate with official investigations to ensure that individuals responsible are held accountable under applicable laws.

Any individual found to have engaged in theft—whether by legal determination or through clear and substantiated evidence—shall be subject to permanent exclusion from all Valenti Studios facilities and services. In addition to facing potential legal prosecution, the offending party shall be held financially liable for:

The full replacement value of the stolen item(s);
Any operational downtime or revenue lost due to the unavailability of the affected equipment or resources; and
Any further financial or reputational losses deemed reasonably necessary by Valenti Studios as a result of the incident.

This policy reflects our commitment to providing a secure, professional, and trustworthy environment for all clients, staff, and collaborators. All individuals accessing the premises are expected to uphold the same standard of conduct.

Guest Liability

The hirer bears the responsibility for ensuring the behaviour and safety of their guests while within the studio premises. Consequently, any damages incurred as a result of their guests' actions are the sole responsibility of the hirer, who is obligated to provide compensation for such damages.

Rescheduling Policy

Rescheduling Procedure

Should the hirer wish to reschedule a studio session, they must notify Valenti Studios staff at least 24 hours prior to the scheduled session start time. Notification of intent to reschedule must be provided in writing via email or other official communication channels.

Rescheduling Fee

Rescheduling requests must be submitted with a minimum of 24 hours’ notice prior to the scheduled booking time. Requests made within this required notice period will be subject to a rescheduling fee equal to 50% of the total value of the original booking. This fee is applied to offset administrative costs and potential loss of revenue associated with the change.

Availability Confirmation

Valenti Studios will make all reasonable efforts to accommodate rescheduling requests, subject to studio availability. Where a rescheduling fee applies, confirmation of the new session date and time will be provided upon receipt of the applicable fee.

All rescheduling is strictly subject to availability, and no dates are guaranteed until formally confirmed by Valenti Studios in writing.

Cancellation Policy Application

If the hirer fails to provide the required 48-hour notice for rescheduling or cancels the rescheduled session entirely, the standard cancellation policy, as outlined in the terms and conditions document, shall apply. This may include full or partial fees depending on the timing of the cancellation.

Multiple Rescheduling Requests

Valenti Studios reserves the right to deny rescheduling requests if multiple requests are made for the same session, or if rescheduling becomes a habitual practice by the hirer. In such cases, the standard cancellation policy will apply.

Cancellation Policy

Cancellation Notice

Cancellation requests must be submitted to Valenti Studios no less than 48 hours prior to the scheduled session start time. Notice of cancellation must be provided in writing via email or other official communication channels.

Cancellation Fees:

Cancellation with at least 48 hours notice: No cancellation fee will be applied, and any prepaid fees will be fully refunded.
Cancellation within 48 hours of the scheduled session: A cancellation fee equal to 50% of the session fee will be charged.
No-shows or cancellations within 24 hours of the scheduled session: The full session fee will be charged, and no refunds will be issued.

Rescheduling Option

In lieu of cancellation, hirers may opt to reschedule their session, subject to availability and the rescheduling policy outlined separately.

Refund Processing

Refunds for cancelled sessions will be processed efficiently, aiming to complete the transaction within 5 - 10 business days from the date when the cancellation notification is received. This expedited processing ensures that any refund due to the hirer is returned promptly, minimising any inconvenience caused by the cancellation.

Health And Safety

Fire Safety

Familiarising yourself with emergency procedures is essential for ensuring the safety and well-being of everyone in the studio premises. In the event of an emergency, it is imperative to be prepared and knowledgeable about evacuation routes and assembly points. Here's a comprehensive emergency procedure to follow:

Know Your Surroundings: Take the time to familiarise yourself with the layout of the studio and identify emergency exits, fire extinguishers, and emergency equipment. Understanding the layout will help you navigate quickly and efficiently during an emergency.
Emergency Contacts: Keep a list of emergency contacts handy, including local emergency services, studio management, and any other relevant contacts. Make sure everyone in the studio knows how to access this information.
Fire Safety: Understand the studio's fire safety protocol, including how to operate fire extinguishers and where to find emergency exits. If a fire alarm sounds, evacuate the premises immediately using the nearest exit and proceed to the designated assembly point.
Medical Emergencies: In case of a medical emergency, quickly assess the situation and call for help if needed. Administer first aid if you are trained to do so, and direct others to contact emergency services. Be prepared to provide clear and accurate information about the situation and the location of the studio.
Evacuation Procedures: In the event of an evacuation, remain calm and follow the instructions of studio staff or emergency personnel. Use the nearest exit and assist others as needed, especially those who may require assistance. Proceed to the designated assembly point and wait for further instructions.
Communication: Maintain clear and open communication with studio management and other occupants during an emergency. Report any hazards or concerns promptly and follow instructions from emergency responders.
Training and Drills: Participate in regular emergency training sessions and drills conducted by the studio management. Practice evacuations and emergency procedures to ensure everyone knows what to do in different scenarios.
Review and Update: Regularly review and update the emergency procedures to incorporate any changes in the studio layout, personnel, or equipment. Ensure that everyone in the studio is aware of the latest protocols and procedures.

By following these emergency procedures and staying vigilant, you can help ensure a safe and secure environment for everyone in the studio.

Weapons Prohibition

Possession of any potential weapons within the studio premises is strictly prohibited to maintain a safe and secure environment for all occupants. This prohibition includes but is not limited to firearms, knives, explosives, or any other object that could be used as a weapon. Such measures are implemented to prevent accidents, injuries, or potential threats to the safety and well-being of studio users and staff. Violation of this policy will result in immediate action, including possible eviction from the premises and reporting to the appropriate authorities.

Disclaimers

Responsibility Limitation

Valenti Studios assumes no liability for individuals utilising studio facilities. This means that while our staff hold responsibility for the studio's operations and maintenance, other individuals using the facilities do so at their own risk. It's essential for all users to acknowledge this disclaimer and understand that the studio cannot be held accountable for any incidents, accidents, or damages that occur during their use of the facilities. By accepting these terms, users agree to waive any claims against Valenti Studios for issues beyond our control.

Information Accuracy

Valenti Studios emphasises that it does not assume responsibility for the accuracy of information provided in its promotional materials. While every effort is made to ensure that the information presented is current and correct, there may be instances where errors or discrepancies occur. Therefore, users should exercise their discretion and verify any details or claims made in promotional materials before relying on them. By acknowledging this disclaimer, users understand that Valenti Studios cannot be held accountable for any inaccuracies in its promotional materials and agree to use the information provided therein at their own risk.

Additional Elements

Intellectual Property

Ownership and usage rights pertaining to any intellectual property generated or utilised during the studio hire session shall be contingent upon distinct agreements negotiated between the involved parties. It is understood that while Valenti Studios provides the space and facilities for creative endeavours, the specific terms governing intellectual property rights, including but not limited to copyrights, trademarks, and patents, will be established separately based on the nature of the collaboration or project.

The parties involved in the studio hire, including the studio user and any collaborating individuals or entities, retain the autonomy to negotiate and finalise agreements regarding intellectual property ownership and usage rights as they see fit. This may involve drafting contracts, licenses, or other legal documents outlining the terms and conditions governing the creation, ownership, and dissemination of intellectual property resulting from the studio hire session.

Indemnity Clause

The user acknowledges and accepts the responsibility to indemnify and safeguard the studio against any claims, damages, or liabilities that may arise as a result of their use of the facilities and resources. This indemnification agreement extends to cover a broad spectrum of potential scenarios, including but not limited to:

Claims Arising from Personal Injury or Property Damage: The user agrees to hold Valenti Studios harmless in the event of any claims or legal actions brought against the studio due to personal injury or property damage incurred during the user's activities within the studio premises.
Liability for Third-party Claims: The user assumes responsibility for any claims, demands, or legal proceedings initiated by third parties, including guests, collaborators, or other individuals affected by the user's actions or negligence while utilising the studio services.
Financial Reimbursement: In the event that Valenti Studios incurs expenses or financial losses as a result of the user's actions, negligence, or breach of contract, the user agrees to reimburse the studio for any costs incurred, including legal fees, settlements, or damages awarded to third parties.
Compliance with Legal Obligations: The user agrees to comply with all applicable laws, regulations, and contractual obligations while utilising the studio services. Failure to adhere to legal requirements may result in legal liabilities for which the user assumes full responsibility.
Protection of Studio Reputation: The user acknowledges the importance of upholding the reputation and integrity of Valenti Studios and agrees to take all necessary precautions to prevent actions or behaviours that could potentially tarnish the studio's reputation or credibility.

By consenting to this indemnification clause, the user demonstrates their commitment to assuming accountability for any adverse consequences arising from their use of the studio services, thereby safeguarding the interests and reputation of Valenti Studios.

Force Majeure

It is hereby acknowledged and agreed that Valenti Studios shall not be held liable for any failure to perform its obligations under this agreement due to circumstances beyond its reasonable control, including but not limited to natural disasters, government restrictions, labor disputes, power outages, or any other events classified as force majeure.

This provision, known as the force majeure clause, serves to exempt Valenti Studios from liability for any delays or failures in performance resulting from such unforeseeable circumstances. In the event of a force majeure event, Valenti Studios shall make reasonable efforts to mitigate the impact on its services and fulfil its obligations to the extent feasible under the circumstances.

It is important to note that the force majeure clause operates to limit Valenti Studios' liability only in situations where performance is prevented or delayed due to events beyond its control. Any other breaches of contract or failures to perform not attributable to force majeure events shall be subject to the terms and conditions outlined in this agreement.

Severability

If any provision of this agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

This document constitutes the entire agreement between the parties and supersedes any prior agreements or understandings.
